    • Check your LLC’s formational documents. Your articles of organization and operating agreement should dictate how to dissolve your LLC. The process typically involves activities such as holding a vote with LLC members and settling on a date of dissolution.
    • Make sure your LLC registration is current. You can do so by visiting the Georgia Corporations Division website and checking your LLC’s status. Your LLC should be in active/compliance status. If it is in active/noncompliance status, you must file your annual registration before submitting your Certificate of Termination.

      • There is a $10 filing fee for filing a Certificate of Termination on paper.
  • Next Steps

    • You’ll receive a completed Certificate of Termination from the Secretary of State in the mail within 2 to 8 business days of the receipt of the filing.
    • Submitting your Certificate of Termination is not the only step in the process of dissolving your LLC. You’ll also need to settle any remaining debts, distribute remaining assets, and notify creditors and claimants of your dissolution.
