Renew a Limited Partnership (LP)

You must file an annual registration for your limited partnership (LP) with the Secretary of State every year.

If you own an LP, you must file an annual registration every year it is in business. Annual registrations are filed with the Secretary of State's Georgia Corporations Division. The annual deadline is April 1, unless you already filed for the current year via a multi-year registration. If you do not file an annual registration for your business or you fail to pay your fees, you may be subject to a civil suit or your LP may be administratively dissolved or revoked by the SOS.

How Do I … Renew a Limited Partnership (LP)?

  • Gather What You'll Need

    What you’ll need to file an annual registration for your LP depends on whether (1) you need to make changes to your business information and (2) you are current on all your annual registration fees.

    • No changes to business information and you are current on fees
      • Business name or control number
      • Acceptable form of payment for your registration fee (major credit card, check, certified bank check, or a money order)
    • Changes to business information, you’re not current on fees, or both
      • Control number or name of the partnership
      • Name of the person filing the annual registration
      • A valid email address
      • Name and address of the registered agent (must be a physical street address in Georgia where an individual can be located in-person for the partnership)
      • Mailing address of the principal office
      • Acceptable form of payment for your registration fee (major credit card, check, certified bank check, or a money order)
  • Decide If You Want To File a Multi-Year Registration

    The SOS provides three options for your annual registration:

    • File for the current year only
    • File for 2 consecutive years
    • File for 3 consecutive years
  • File Your Annual Registration

    You can complete your annual registration in 1 of 3 ways. Remember, as mentioned in Step 1, the method you use will depend on whether (1) you need to make changes to your business information and (2) you’re current on all your annual registration fees.

    • One Click Registration

      With One Click Registration, you do not need to log into your eCorp account to file your annual registration. You can only use this option if (1) you do not need to make any changes to your business information and (2) you’re current on all your annual registration fees. To file this way: 

      • Go to the SOS’s Georgia Corporations Division website.
      • Select “One Click Annual Registration With No Changes,”
      • Follow the instructions provided.
      • Once you complete the process, you will receive an email with your updated registration and a receipt of payment.
    • Online Services

      Select this option if you prefer to log in to your eCorp account. Filing via Online Services allows you to make business information changes and also lets you view a history of all of your filings and receipts of payments. To file this way:

      • Go to the SOS’s Georgia Corporations Division website.
      • Select “Annual Registration With Changes."
      • Follow the instructions provided.
      • You will be able to edit your general partners’ addresses, if necessary.
      • Once you complete the process, you will receive a confirmation email with your updated registration and receipt of payment.
    • By Mail

      To file your annual registration by mail, do the following:

      • Visit the SOS’s Georgia Corporations Division website.
      • Follow the instructions to search for your business.
      • Print out and complete the annual registration form.
      • Please note:
        • There is an additional $10 service charge for submitting your registration by mail.
        • Your envelope must be postmarked by April 1 of the current year to avoid a $25 late fee.
      • Mail your completed form, along with your payment, to:

  • Next Steps

    If you completed the registration process online, you should receive an email with your updated registration and a receipt of payment. If you filed by mail, your updated registration and receipt of payment will be mailed to the address you provided on your annual registration form; it should arrive within 3 to 4 weeks of your submission date. If you do not receive your registration or payment confirmation, follow up with the SOS’s Georgia Corporations Division.
